What is STK-2 company closure?

STK-2 is the prescribed form used for applying to the Ministry of Corporate Affairs (MCA) for strike-off of companies that are inactive and willing to close operations. Under the Companies Compliance Facilitation Scheme (CCFS-2026), effective from 15-Apr-2026 to 15-Jul-2026, eligible companies may receive a 75% waiver in the applicable government filing fee for STK-2.

Who can apply for inactive company closure?

Generally, companies which have not carried out business operations for at least the past 2 years, do not have outstanding liabilities, and have obtained bank account closure confirmation from the banker may be eligible to apply for strike-off. Final eligibility remains subject to document review and regulatory requirements.

How long does the closure process usually take?

Our team generally completes preparation, filing and sharing of the MCA acknowledgement within 7 business days from receipt of complete information and documentation. However, since the application undergoes manual scrutiny and approval by the MCA authorities, final approval timelines may vary and remain subject to MCA processing timelines and regulatory review.

What documents are generally required?

Most of the required information and documents are collected as part of the intake form itself. Based on the submitted details, our team prepares the necessary documentation and shares the finalized documents for electronic signing (E-Sign) by the concerned parties.

Can closure be initiated if ROC filings are pending?

No. Pending ROC filings generally need to be completed before the STK-2 strike-off application can be initiated. Our team may separately guide you regarding pending compliance requirements wherever applicable.

What if the company still has an active bank account or GST registration?

Bank accounts and GST registrations are generally required to be closed prior to filing the STK-2 application. Supporting closure documentation may also be required as part of the filing process.

Are government filing fees included in the professional fee?

Yes. The current fee structure includes MCA filing fees for MGT-14 and STK-2 forms, CA certification charges forming part of the filing process, notary charges, and e-stamping charges where e-stamping facility is available. Any additional government fees, penalties, or compliance costs arising from pending filings or special circumstances may be charged separately wherever applicable.

Will the amount be refunded if the closure process cannot proceed?

If the engagement cannot be proceeded with due to documentation, regulatory, or practical constraints, the amount paid will be refunded after deduction of applicable payment gateway charges and any out-of-pocket expenses already incurred, if any.

How will I know if my submission has been received?

Once the intake form is submitted and payment is successfully completed, the request is automatically allocated to our internal processing team. You will generally receive an acknowledgement or initial response within 3 business days. If you do not hear back from us within this period, you may write to engage@innovateminds.co.
